Agreement to Terms

These Terms of Service (“Terms”) are an agreement between you and Astherion, Inc., a Delaware corporation headquartered in San Francisco, California (“Astherion,” “we,” “us,” or “our”). By accessing or using our website, products, or services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Description of Services

Astherion provides biosensor-integrated apparel and related software, including:

  • The Ascendra One - a biosensor-integrated base-layer garment with a distributed sensor array
  • Aetheris - our AI voice coaching engine, which delivers a live readout driven by your physiological data
  • A Data Processing Unit (DPU) for on-body data collection and BLE transmission
  • A mobile application for real-time data visualization and coaching
  • Optional connections to third-party wearables and health services (such as Oura)
  • Pre-orders for the Ascendra One, the invitation-only Alpha founder program, and the Founders Discord community

Not a Medical Device - Not Medical Advice

Astherion products are not medical devices and do not provide medical advice, diagnosis, or treatment. They are intended for wellness and performance purposes only.

This applies to every reading you see in Astherion - both data from our own sensors and any data surfaced from connected third-party services (such as Oura). You should:

  • Consult a qualified healthcare professional before making any health decisions
  • Not rely on any Astherion reading - or any reading from a connected third-party service - for medical diagnosis, treatment, or decisions
  • Seek immediate medical attention for health emergencies
  • Not use SpO2 or any other sensor output, from our garment or a connected service, as a substitute for clinical measurement

Alpha Founder Program Terms

What You Are Purchasing

The Alpha founder unit is priced at $199. This reserves your place in the founding cohort of 25 units. By purchasing, you acknowledge that you are reserving a handmade prototype garment, not a manufactured consumer product.

Alpha Product Disclaimer

Alpha units are handmade, experimental prototypes, not finished manufactured products. You acknowledge that:

  • Each unit is built by hand - quality and finish may vary from manufactured products
  • The garment is semi-washable (spot clean only) - not machine washable
  • The garment has limited durability and is not built to withstand the abrasion, moisture, stretching, and repeated stress of heavy or prolonged field use
  • Sensors, wiring, and the DPU connection may drift, degrade, or stop working with use, sweat, washing, or time - this is expected behavior for a handmade prototype, not a product defect
  • Firmware and app features are in active development and will receive continuous updates
  • Some algorithm outputs are in development and may not be fully validated at time of delivery
  • Performance specifications may evolve through firmware updates
  • You are participating as a founding tester, not just a customer

Because Alpha units are experimental, gradual wear and sensor drift over time with regular use are expected and are not considered faults in the product. How returns and warranty coverage work is described in Returns and Replacements below and in our Warranty Policy.

Returns and Replacements

If the Ascendra One is not right for you, you may return it within 30 days of delivery for a full refund, provided it comes back in original condition: unworn or only lightly tried on, clean, and undamaged, with all components included and the DPU factory reset. Units returned damaged, soiled, or showing signs of more than light use are not in resalable condition and may be declined or issued a partial refund.

Defective or non-functional units. If your unit is dead on arrival, has all sensors non-operational, the DPU never connects to the app after troubleshooting, or fails due to a manufacturing defect covered by our Warranty Policy, we will repair or replace it.

Because Alpha units are handmade prototypes, performance and finish may vary slightly, and gradual sensor drift or wear over time with regular use is expected and is not a defect. For full details, see our Return Information and Warranty Policy.

Pre-order Terms

What You Are Reserving

A pre-order reserves an Ascendra One production unit with a $99 deposit today and a $350 balance due at launch, for a total price of $449. The balance is collected before your unit ships. Production units are expected to ship in Q2 2027. That is a good-faith estimate, not a guaranteed delivery date. What Your Pre-order Includes

  • Ascendra One Core Layer garment
  • Dockable Processing Unit (DPU) and DPU band
  • iOS app with live data streaming and the Aetheris AI readout
  • All firmware and app updates for the Ascendra One at no additional cost

Deposit and Refund Policy

Your $99 deposit is fully refundable at any time until your unit ships, for any reason and with no cutoff date. To cancel, contact [email protected]. Full terms are on our Refund & Cancellation Policy page.

If Astherion is unable to deliver your pre-ordered unit, your deposit and any balance paid are refunded in full. Once your unit ships, returns and defects are governed by our Return Policy and Warranty Policy.

Connected Third-Party Services

Astherion lets you optionally connect third-party wearables and health services - such as your Oura ring - so their readings can enrich your live coaching experience. By connecting a service, you authorize Astherion to access data from that service solely to provide the live coaching feature, subject to our Privacy Policy and to the third party’s own terms and privacy policy.

Connecting is optional and requires your explicit authorization. You can disconnect at any time, from the in-app Connections (Settings) screen and by revoking access with the provider directly, without losing access to the underlying third-party service. How we handle connected-service data - including purpose limitation, no AI training, no sale, transient handling, and deletion within 72 hours - is described in our Privacy Policy.

Third-party services are operated by independent providers, not by Astherion. We do not control and are not responsible for their products, services, availability, accuracy, or data practices, and your use of a third-party service is governed by your agreement with that provider.

Third-Party Disclaimer of Warranties

ON BEHALF OF EACH THIRD-PARTY SERVICE PROVIDER, ALL DATA, CONTENT, AND SERVICES MADE AVAILABLE THROUGH A CONNECTED THIRD-PARTY SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. EACH THIRD-PARTY SERVICE PROVIDER DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Third-Party Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO THIRD-PARTY SERVICE PROVIDER SHALL BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, PUNITIVE, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF A CONNECTED THIRD-PARTY SERVICE THROUGH ASTHERION. THIS EXCLUSION IS IN ADDITION TO, AND DOES NOT LIMIT, THE LIMITATIONS OF LIABILITY THAT OTHERWISE APPLY UNDER THESE TERMS.

Founders Discord Community

Alpha founders receive access to a private Discord community. By participating, you agree to:

  • Treat other community members with respect
  • Not share confidential product information, unreleased firmware builds, or internal communications outside the community
  • Not record or screenshot private channels without permission
  • Abide by Discord's Terms of Service

Astherion reserves the right to remove any member from the community for conduct that violates these guidelines or is harmful to the community.

User Accounts

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

Intellectual Property

All content, features, and functionality on our website and products are owned by Astherion and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Prohibited Uses

You may not:

  • Use our services for any illegal purpose
  • Reverse engineer, decompile, or disassemble our products
  • Attempt to gain unauthorized access to our systems or to any connected third-party service
  • Interfere with the proper functioning of our services
  • Resell or transfer Alpha or pre-order units without our written permission

Warranty

Alpha Units: Alpha units are handmade prototypes. If a unit is not right for you, you may return it within 30 days in original condition for a refund (see Returns and Replacements above), and we repair or replace dead-on-arrival units and manufacturing defects. Gradual wear and sensor drift through use over time are expected and are not covered. See our Warranty Policy for full details.

Limitation of Liability

To the maximum extent permitted by law, Astherion shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of data, profits, or revenue
  • Personal injury or property damage (except as required by law)
  • Damages resulting from reliance on any reading - from our garment or a connected third-party service - for health or safety decisions

Our total liability shall not exceed the amount you paid for the product or service. The separate exclusions that apply to third-party service providers are set out in the Connected Third-Party Services section above.

Indemnification

You agree to indemnify and hold Astherion harmless from any claims, damages, or expenses arising from your use of our products, your connection of any third-party service, or your violation of these Terms.

Termination

We may terminate or suspend your access to our services at any time, with or without notice, for conduct that violates these Terms or is harmful to other users or our business.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in San Francisco County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our website. Continued use of our services after changes constitutes acceptance.
